Terms of Use
These Extranet Terms of Use (the “User Terms”) govern your access to and use of the AHDB Recommended Lists Extranet, portal, and any associated services, tools, or content made available through it (the “RL Extranet”).
By accessing or using the RL Extranet you agree to be bound by these User Terms.
1. Definitions and Interpretation
1.1. The following terms shall have the following meanings when used in these User Terms:
“AHDB” means the Agricultural and Horticultural Development Board.
“You” or “your” means the individual accessing or using the RL Extranet.
“Authorised User” means a registered and approved person expressly permitted to access the RL Extranet.
“Content” means any materials, information, data or content made available via the RL Extranet.
“Credentials” means usernames, passwords, multi-factor authentication methods, access tokens, or any other access mechanism.
“Confidential Information” means any non-public information made available to Authorised Users via the RL Extranet or otherwise by/for AHDB, including business, technical, financial, client, supplier, case, or project information, whether or not marked as confidential, including any information which a reasonable person would determine to be confidential.
“We”, “us”, “our” means AHDB.
2. Authorised User Registration and Access
2.1. You must register for the RL Extranet using your AHDB or another verified email address. Your email address may be verified by AHDB or another organisation at AHDB’s request upon signing up for an account or when accessing the RL Extranet.
2.2. You must use an individual email address to register for an account on the RL Extranet. You acknowledge and agree that registration of shared email addresses is prohibited and access by such email address will be suspended or removed at AHDB’s discretion.
2.3. If you leave or change roles within your organisation you shall notify rl@ahdb.org.uk without delay. Your access may be revoked and/or your account removed if AHDB determines, in its sole discretion, that you no longer require access to the RL Extranet.
2.4. AHDB may remove, withdraw or suspend access to your account if you leave AHDB.
2.5. AHDB may grant, vary, or withdraw access at any time at its discretion (including for security, compliance, operational, or legal reasons).
3. Accounts, Credentials, and Security
3.1. You must keep your Credentials secure and confidential and must not sell, rent or otherwise share your Credentials with any other person or organisation.
3.2. You are responsible for all activity carried out using your Credentials (whether authorised by you or not).
3.3. You must not access the RL Extranet using any other persons Credentials.
3.4. You must immediately notify AHDB by contacting rl@ahdb.org.uk if you suspect: (a) loss or compromise of your Credentials; (b) unauthorised access to the RL Extranet or any of the Content; or (c) any security incident relating to the RL Extranet.
3.5. You must comply with any security requirements notified to you from time to time, including (but not limited to) multi-factor authentication, password rules, device or browser requirements, or access restrictions and controls.
3.6. AHDB reserves the right to validate or verify all Credentials or Authorised Users at any time.
3.7. If an account is inactive for a period of 12 months, AHDB has the right (at AHDB’s sole discretion) to suspend or remove the account from the RL Extranet or limit access to Content.
4. Acceptable use
4.1. You must use the RL Extranet lawfully and in accordance with these User Terms.
4.2. You must not:
4.2.1. access, attempt to access, interfere with, damage, or disrupt any part of the RL Extranet, its systems, networks, or security controls;
4.2.2. use the RL Extranet in a way that could impair availability for others, including introducing viruses or other malicious code, or conducting vulnerability scanning;
4.2.3. circumvent or attempt to circumvent or bypass access restrictions, authentication measures, or authorisation controls;
4.2.4. copy, download, extract, scrape, bulk-export, or otherwise use Content except as permitted for the purposes of the AHDB Recommended Lists project (as more particularly described in Clause 5.2) and you must comply with any specific restrictions notified on the RL Extranet;
4.2.5. upload, submit, or transmit Content that is unlawful, infringing, defamatory, or harmful, or that contains malware;
4.2.6. use the RL Extranet to send unsolicited marketing or to distribute spam;
4.2.7. use the RL Extranet to infringe any person’s intellectual property rights, confidentiality obligations, or privacy rights.
4.3. AHDB may monitor, record, and audit use of the RL Extranet (including access logs and activity logs) to operate the service, verify compliance with these User Terms, investigate incidents, and meet legal, regulatory, and security obligations.
5. Content and Intellectual Property
5.1. Unless stated otherwise, AHDB (or its licensors) owns or licences (as applicable) all intellectual property rights in the RL Extranet and the Content.
5.2. Subject to these User Terms, AHDB grants you a limited, non-exclusive, non-transferable, revocable right to access and use the RL Extranet and the Content solely for the purposes of the AHDB Recommended Lists project trials, tests and decision-making as outlined in the AHDB Recommended Lists procedures and protocols (www.ahdb.org.uk/rl).
5.3. You must not remove proprietary notices from any Content.
5.4. Where the RL Extranet contains personal data, AHDB will process such personal data in accordance with its privacy notice (available at AHDB privacy notice | AHDB) and applicable data protection law.
6. Confidentiality
6.1. You must keep Confidential Information secure and confidential and must not disclose it to any third party except as permitted by these User Terms or with AHDB’s prior written consent.
6.2. You must immediately notify AHDB if you suspect or become aware of any unauthorised access, copying, use, or disclosure of Confidential Information.
6.3. Confidentiality obligations do not apply to information that: (a) is or becomes public other than through your breach; (b) you can show you lawfully possessed before disclosure outside of your engagement with AHDB; (c) you lawfully receive from a third party without restriction; or (d) you are required to disclose by law or regulation (in which case, where legally permitted, you must provide AHDB with advance written notice).
7. Third-party sites and services
7.1. The RL Extranet may include or rely on third-party services (e.g., identity providers, cloud hosting, or embedded tools). AHDB is not responsible for third-party sites or services that are not under its control, and your use of them may be subject to third-party terms.
8. Availability and changes to the RL Extranet
8.1. AHDB does not guarantee that the RL Extranet will be available at all times or that it will be error-free. The RL Extranet may be suspended for maintenance, upgrades, security reasons, or events outside AHDB’s reasonable control.
8.2. AHDB may update, change, or remove functionality or Content from the RL Extranet at any time.
8.3. The RL Extranet and Content are provided on an “as is” and “as available” basis. To the extent permitted by law, AHDB disclaims all warranties and representations (express or implied), including as to accuracy, completeness, fitness for purpose, and non-infringement.
9. Suspension and termination
9.1. AHDB may suspend or terminate your access immediately if it reasonably believes you have breached these User Terms, your access is no longer required, or suspension is necessary to protect the RL Extranet, AHDB, or others.
9.2. On termination of your engagement with AHDB or such other organisation, or where AHDB has identified that you no longer require access, you must cease using the RL Extranet and (where requested) promptly return or securely delete Confidential Information and Content in your possession, except where retention is required by law.
9.3. Sections of these User Terms intended to survive termination (including confidentiality, intellectual property, liability, and governing law) will continue in effect.
10. Changes to these User Terms
10.1. AHDB may update these User Terms from time to time. Unless otherwise stated, updated User Terms take effect when communicated to you or when posted to the RL Extranet.
11. General
11.1. Each of the clauses of these User Terms operates separately. If any court or relevant authority decides that any of them are unlawful, the remaining clauses will remain in full force and effect.
11.2. If AHDB delay in enforcing these User Terms, it can still enforce such terms at a later stage and such delay does not act to waive any rights or remedies that AHDB may have pursuant to these User Terms.
11.3. These User Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims) are governed by the laws of England and Wales, and the courts of England and Wales shall have exclusive jurisdiction.
